Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the VirtueCore VA Marketplace platform (“Platform”) operated by VirtueCore (“VirtueCore,” “we,” “our,” or “us”). By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.

1. Eligibility

You must be at least 18 years old to use the Platform. By using the Platform, you represent that you are at least 18 and have the legal capacity to enter into a binding agreement. If you are using the Platform on behalf of a company, you represent that you have authority to bind that company to these Terms.

2. Account Registration

• You must provide accurate, complete, and current information when creating an account.
• You are responsible for maintaining the confidentiality of your password and for all activity under your account.
• You must notify us immediately at support@virtuecore.com if you suspect unauthorized access.
• You may not create more than one account per person, impersonate another person, or create an account for fraudulent purposes.
• We reserve the right to suspend or terminate accounts that violate these Terms.

3. Platform Description

VirtueCore is a marketplace connecting clients with certified Virtual Assistants (VAs). The Platform includes:

• A marketplace where clients can browse and hire VAs
• A job board where clients post work opportunities and VAs apply
• Direct messaging between clients and VAs
• The VirtueCore Academy, offering training courses for VAs
• A review and rating system for completed engagements
• Optional paid subscription plans for enhanced features

VirtueCore is a marketplace platform, not an employer. VAs are independent contractors, not employees of VirtueCore. We do not guarantee the quality, safety, legality, or accuracy of any user-generated content or the conduct of any user.

4. VA Responsibilities

If you use the Platform as a Virtual Assistant, you agree to:

• Provide accurate information about your skills, experience, and qualifications
• Only claim course badges and certifications you have genuinely completed
• Deliver services with reasonable care and in a professional manner
• Communicate promptly and honestly with clients
• Not apply to jobs you have no intention of fulfilling
• Comply with all applicable laws in your jurisdiction, including tax and labor regulations

5. Client Responsibilities

If you use the Platform as a client, you agree to:

• Post only legitimate, lawful job opportunities
• Provide accurate descriptions of work scope, pay rates, and expectations
• Communicate respectfully and professionally with VAs
• Honor commitments made to VAs whose applications you accept
• Not solicit VAs to work outside the Platform to circumvent fees
• Leave only honest and accurate reviews based on actual work completed

6. Payments and Subscriptions

Some features of the Platform require a paid subscription. All payments are processed by Stripe. By subscribing, you authorize VirtueCore to charge your payment method on a recurring monthly basis at the rate shown at the time of purchase.

• Cancellation: You may cancel your subscription at any time by contacting support@virtuecore.com. Access continues until the end of the current billing period.
• Refunds: Subscription fees are non-refundable except where required by applicable law. If you believe you were charged in error, contact us within 14 days.
• Price changes: We will provide at least 30 days’ notice of any price change via email before it takes effect.
• Taxes: Prices shown may exclude taxes. You are responsible for any applicable taxes.

VirtueCore does not currently take a commission on transactions between clients and VAs. Clients and VAs arrange payment directly.

7. VirtueCore Academy

The Academy provides training courses for VAs. By completing a course, you earn a verified badge displayed on your public profile. You agree not to:

• Share account credentials to allow others to complete courses on your behalf
• Use automated tools or bots to progress through courses
• Misrepresent your level of completion to clients

Course content is provided for educational purposes. VirtueCore does not guarantee specific outcomes from completing courses.

8. Content and Conduct

You are responsible for all content you submit to the Platform. You agree not to:

• Post false, misleading, or fraudulent content
• Harass, threaten, or abuse other users
• Upload content that is illegal, defamatory, discriminatory, or sexually explicit
• Spam other users with unsolicited messages
• Attempt to circumvent platform security or gain unauthorized access
• Scrape, copy, or redistribute Platform data without written permission
• Use the Platform for any illegal purpose

We reserve the right to remove any content and suspend any user that violates these rules, at our sole discretion, without prior notice.

9. Intellectual Property

The Platform, its design, logo, and original content are owned by VirtueCore and protected by copyright and trademark law. You may not reproduce, distribute, or create derivative works without our written consent.

Content you submit (profile text, messages, reviews) remains yours. You grant VirtueCore a non-exclusive, worldwide, royalty-free license to use, display, and store that content to operate the Platform.

10. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. VIRTUECORE DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES. WE DO NOT ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY VA’S SKILLS, QUALIFICATIONS, OR PERFORMANCE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIRTUECORE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRIOR TO THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless VirtueCore and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including attorneys’ fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any work performed or not performed between you and another user.

13. Governing Law and Disputes

These Terms are governed by the laws of the Philippines, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Platform shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with applicable arbitration rules.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and sending an email to your registered address at least 14 days before changes take effect. Continued use of the Platform after that date constitutes acceptance.

15. Termination

You may delete your account at any time via Account Settings. We may suspend or terminate your account for violations of these Terms, fraudulent activity, or for any other reason with reasonable notice. Upon termination, your right to use the Platform ceases immediately.
